General Terms and Conditions of Use of the Luggage Plates Website
and the Supply of Luggage plates
The following terms and conditions apply to all users of the luggageplates.com website (the “website”)and to all purchases of luggage plates from Luggage Plates Limited (“LPL”). By viewing and using the website you agree to these terms of use without qualification. If you do not wish to be bound by these terms, you should stop using the website.
A. Use of the Website
1. Liability: While reasonable care has been taken to ensure the facts stated in the website are accurate and the opinions given are fair and reasonable, LPL will not, to the fullest extent permitted by law, be responsible for errors or misstatements or be liable for any loss or damage however caused (whether direct, indirect, consequential or special).
2. Copyright and Limited Reproduction Notices: The contents of the website are the copyright of LPL. No part of the website may be distributed or copied for any purpose and you are not permitted to incorporate the material or any part of it in any other work or publication (whether in hard copy, electronic or any other form). No part of the website may be published, copied, reproduced, transmitted or stored (including in any other website or other electronic form) except that you may print, or download to your hard drive, extracts from the website only for your own use.
3. Linking: The contents of the website may include links to third party materials (“linked sites”). LPL will not be responsible for the contents of any linked site or liable for any direct or indirect loss or damage suffered by you from accessing, using, relying on or trading with third parties. These links are provided to you only as a convenience, and the inclusion of any link does not imply LPL’s endorsement of the site or any association with their operators. LPL reserves the right to prohibit links to the website and you agree to remove or cease any link upon LPL’s request. You may not frame any part of the website material by including advertising or other revenue generating material.
4. Advertisers: Any dealings with any advertiser appearing on the website are solely between you and the advertiser or other third party. LPL is not responsible or liable for any part of any such dealings or promotions.
5. Disclaimer: The website makes information and material available to you as a service. Use of the website material is at your own risk. LPL is not responsible for any adverse consequences arising out of the use of information contained on the website. The material provided on the website has not been prepared by taking into account the particular objectives, situation or needs of any individual users. It is a general information service only. You should assess whether it is appropriate in light of your own objectives, situation and needs. LPL does not give any warranty of accuracy or reliability of information contained on the website to you or any other person. To the extent permitted by law LPL excludes all responsibility and liability for such material.
6. Privacy and Personal Information: LPL may collect personal information from you for the purpose of processing your purchase, responding to your specific enquiries, marketing products and services LPL thinks may be of interest to you and building up marketing profiles. The information will also be used to send you further promotional material. If all of the requested information is not provided LPL may not be able to process your purchase. You have the right to inspect and update your personal information at any time. B. Supply of Luggage Plates
1. Supply: On receipt of a purchase order LPL will endeavour to supply you with the luggage plates ordered, but LPL will not be liable if LPL declines to fulfil, or is unable to fulfil, an order.
2. Terms: LPL will supply luggage plates to you on these terms only (as amended from time to time). The only circumstance where any variation to these terms will apply is where LPL has expressly agreed in writing to that variation. If there is any conflict with other terms of trade, these terms and conditions will take priority over any other terms of trade.
3. Price: The price of the luggage plates is that stated on the website at the time of acceptance by LPL of your purchase order, unless otherwise expressly agreed in writing by LPL. The prices exclude goods and services tax ("GST") when delivering address is in New Zealand. Goods and service tax ("GST") will be exempted for delivery outside of New Zealand. LPL may alter prices without notice and prices may be different from the price current at the time of order.
4. Delivery and Insurance Charges: You will pay the post or courier charges related to your purchase order. LPL may, if you request, arrange delivery by other means or at other times but will be entitled to charge you for any additional costs incurred.
5. Credit: If you have requested credit, you give LPL permission to undertake a credit check on you from time to time for the purpose of deciding whether or not to extend you such credit for purchases from LPL.
6. Payment: If LPL has extended you a credit facility, you must make payment, of the price and any delivery and insurance charges, on the 20th of month following the date of purchase or upon demand by LPL, whichever is the earlier (the “due date”). LPL reserves the right to require payment in cash before luggage plates are dispatched.
7. Overdue Payments: If full payment is not made by the due date, you will pay a late payment penalty on overdue amounts, at 1% per month above LPL’s overdraft limit with LPL’s bank, with penalty being calculated from the date when payment is due until the date when payment is actually made. You will pay all costs (including legal costs) incurred by LPL in collecting or attempting to collect any amounts outstanding.
8. Delivery: LPL will endeavour to deliver luggage plates by post or courier within 5 business days for local and national delivery and up to 5 weeks for international delivery of receiving your order but LPL will not be liable for late delivery or luggage plates lost in the course of delivery.
You can expect that items will usually arrive at their destination within the timeframe specified for each service. Delivery to areas outside major cities, or where your item is dutiable or is held in customs, may take longer.
Because we do not directly control all parts of the delivery chain, we cannot guarantee that your item will always reach its destination within the target delivery times.
Late delivery does not entitle you to cancel any order or part order. Delivery will be deemed to have been made when the luggage plates arrive at the address specified by you.
9. No editing: You may not edit the information or marks intended to appear on a luggage plate or cancel your order after submitting it to LPL.
10. Risk and ownership: Risk in the luggage plates will pass to you on delivery but legal and beneficial ownership in luggage plates remains with LPL until all sums owed to LPL are paid in full.
11. Selling your Luggage Plates: You may offer the luggage plates for resale on luggaggeplates.com only when you have chosen the option to redeem for resale. Once the option to print has been chosen, the bar code will be added linked to the buyer's unique database identification code and not be available for resell. LPL will charge you a transaction fee for transfer between buyer and seller upon resale.
12. Warranties: LPL will pass on to you the benefit of any warranties given by the manufacturers or suppliers of the luggage plates. However, LPL expressly excludes to the fullest extent permitted by law all other warranties, descriptions, representations or conditions whether implied by law, trade, custom or otherwise.
13. Limitation of Liability: LPL’s liability for any claim, damages, loss or expense related to the supply by LPL of luggage plates is limited to the cost paid by you for the luggage plates and except where statute expressly requires otherwise. To the fullest extent permitted by law LPL will not be liable in any event whether in tort, contract or otherwise for any loss of profits or any consequential, indirect or special damage, loss or injury of any kind suffered by you or any other person. In particular, and without limiting the generality of the foregoing, LPL will not be liable for any damage caused to your property as a result of the adhesive used to fasten the plate to your property.
14. Indemnity: You agree to indemnify LPL against any breach of a third party’s copyright, trade mark or other intellectual property right arising out of the content of your luggage plate. LPL reserves the right not to fulfil an order for a plate where there is a known breach of a third party’s intellectual property rights or where the contents contain obscene language or are offensive in any other way.
15. Consumer Guarantees Act 1993 (the "Act"): If you are a consumer under the Act and you are acquiring or holding yourself out as acquiring the luggage plates for a business purpose, the Act will not apply. Subject to the preceding sentence, nothing in these terms and conditions will affect your rights as a consumer under the Act.
16. LPL’s Rights: If any amount payable by you is overdue, or in LPL’s opinion you are likely to be unable to meet your payment; or you are a company and you become bankrupt, insolvent, have a receiver appointed in respect of all or some of your assets, make or are likely to make an arrangement with your creditors, have a liquidator appointed, are placed under statutory or official management or any equivalent or analogous event occurs or your ownership or effective control is transferred or the nature of your business is materially altered, then:
(a) LPL may cancel all or any orders with you which remain, or any part of any order with you which remains, unperformed, in addition to and without prejudice to LPL’s other remedies; and
(b) all amounts owing to LPL whether due for payment or not, will immediately become due and payable.
17. Changes to Terms and Conditions: LPL may change these terms and conditions at any time by notifying users of the existence of revised terms and conditions through LPL’s website. By continuing to access the website, you agree to be bound by the amended terms and conditions.
18. Waiver: If at any time LPL does not enforce any of these terms or grant you time or other indulgence, LPL will not be construed as having waived that term or LPL’s rights to later enforce that or any other term.
19. Severability: If any portion of these terms and conditions is deemed to be invalid, illegal or unenforceable the remaining provisions shall remain in full force and effect.
20. Governing Law: These terms will be governed by New Zealand law and you agree to submit to the exclusive jurisdiction of the New Zealand Courts. The application of the United Nations Convention on Contracts for the International Sale of Goods is expressly excluded.
